Terms of Service
Plain-language terms for using AmritSmile. We've written them to be readable, not just legally airtight.
1. Acceptance of terms
By accessing or using AmritSmile ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
If you do not agree to these Terms, please do not use the Service. We may update these Terms from time to time; continued use after changes are posted constitutes acceptance of the revised Terms.
2. Description of service
AmritSmile provides a clinic management platform for dental practices, including appointment scheduling, patient records, billing, web bookings, and analytics features ("the Service").
We reserve the right to modify, suspend or discontinue the Service or any feature at any time with reasonable notice. We will not be liable for any modification, suspension or discontinuation of the Service.
3. Account registration
To use the Service, you must create an account. You agree to: provide accurate, current and complete information during registration; maintain and promptly update your account information; keep your password confidential; and notify us immediately of any unauthorised use.
You are responsible for all activity that occurs under your account. AmritSmile reserves the right to suspend or terminate accounts that violate these Terms.
4. Patient data & your responsibilities
As a dental practice using AmritSmile, you are the Data Fiduciary for all patient data you enter into the Service. AmritSmile acts as a Data Processor under the DPDPA. You are responsible for: obtaining valid consent from patients before entering their data; ensuring the accuracy of data entered; and complying with all applicable healthcare regulations.
You grant AmritSmile a limited licence to process patient data solely for the purpose of providing the Service to you. We will not access patient data except as necessary to deliver the Service or as required by law.
5. Prohibited uses
You agree not to: use the Service in any way that violates applicable laws or regulations; transmit any unsolicited or unauthorised advertising or promotional material; impersonate any person or entity or misrepresent your affiliation; interfere with or disrupt the integrity or performance of the Service; or attempt to gain unauthorised access to the Service or related systems.
AmritSmile reserves the right to investigate and, where applicable, cooperate with law enforcement in prosecuting users who violate these Terms.
6. Subscription & payment
Subscription fees are billed in advance on a monthly or annual basis. All fees are exclusive of applicable taxes (including GST), which will be added to invoices where required. Fees are non-refundable except as required by law.
Failure to pay subscription fees may result in suspension of access. We will provide reasonable notice before suspension. Disputed charges must be raised within 30 days of the invoice date.
7. Intellectual property
The Service, including all software, designs, text, graphics, and other content created by AmritSmile, is owned by AmritSmile Technologies Pvt. Ltd. and is protected by intellectual property laws. These Terms do not grant you any ownership in the Service.
You retain all rights in the data you enter into the Service. You grant AmritSmile a non-exclusive licence to process this data solely to provide the Service.
8. Limitation of liability
To the maximum extent permitted by law, AmritSmile shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill, arising out of or related to these Terms or use of the Service.
Our total aggregate liability to you shall not exceed the fees paid by you in the 12 months preceding the claim. These limitations apply regardless of the form of action and whether AmritSmile has been advised of the possibility of such damages.
9. Termination
Either party may terminate these Terms at any time on 30 days' written notice. You may cancel your subscription from within the admin dashboard. Upon termination, your right to use the Service ceases immediately.
Within 30 days of termination, you may request an export of your data. After 90 days, your data may be permanently deleted. AmritSmile is not liable for any data loss after this window.
10. Governing law
These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
